1 Acceptance of Terms

By accessing or using the ZeusXR platform and services ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy (AUP), which are incorporated by reference. If you do not agree to these Terms, do not use the Service.

ZeusXR, Inc. ("ZeusXR," "we," "us," or "our") reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance.

2 Description of Service

ZeusXR is a cloud-based platform for the processing, encoding, and global distribution of immersive media content, including VR180, VR360, spatial video, and related formats. The Service enables creators and enterprises to upload raw immersive footage, process it into streaming-ready content at multiple resolutions, and distribute it via global CDN infrastructure optimized for virtual and mixed reality devices.

ZeusXR may offer additional features including, but not limited to, white-label portals, API access, analytics, and content management tools. Features may vary by subscription plan.

3 Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities that occur under your account
• Notify ZeusXR immediately of any unauthorized use of your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. ZeusXR reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.

4 User Content and License

4.1. Ownership. You retain all ownership rights in the content you upload to the Service ("User Content"). ZeusXR does not claim ownership of User Content.

4.2. License Grant. By uploading User Content, you grant ZeusXR a non-exclusive, worldwide, royalty-free license to host, store, process, encode, transcode, transmit, cache, and distribute your User Content solely for the purpose of operating and providing the Service to you.

4.3. Representations. You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and distribute User Content, and that User Content does not infringe any third-party intellectual property, privacy, or other rights.

4.4. Responsibility. You are solely responsible for your User Content and the consequences of uploading or publishing it through the Service.

5 Prohibited Conduct

You agree not to use the Service to:

• Upload, transmit, or distribute content that is unlawful, defamatory, obscene, or infringes any third-party rights
• Upload content involving minors in any harmful, exploitative, or inappropriate context
• Engage in fraud, impersonation, phishing, or deceptive practices
• Distribute malware, viruses, or any code designed to harm or disrupt
• Attempt to gain unauthorized access to the Service, other accounts, or systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any illegal purpose or in violation of applicable laws
• Resell, sublicense, or redistribute access to the Service without authorization

6 Acceptable Use Policy (AUP)

6.1. Use of the Service is also governed by the Acceptable Use Policy ("AUP"), which is incorporated by reference into these Terms.

6.2. The AUP provides additional technical and behavioral restrictions including infrastructure abuse, automation limits, malicious uploads, extreme volumes, and circumvention of controls.

6.3. ZeusXR may update the AUP from time to time. The current version is available at zeusxr.com/aup. Continued use of the Service after changes are posted constitutes acceptance of the updated AUP.

7 Fees and Payment

7.1. Subscription Plans. Access to certain features of the Service requires a paid subscription. Fees, features, and limits are described on our pricing page and may vary by plan.

7.2. Billing. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

7.3. Payment Processing. Payments are processed by third-party payment processors (e.g., Stripe). By providing payment information, you authorize ZeusXR and its payment processors to charge your payment method for all fees incurred.

7.4. Price Changes. ZeusXR may change subscription fees upon 30 days' notice. Continued use after the effective date constitutes acceptance of the new fees.

7.5. Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, or levies imposed by taxing authorities.

8 Artificial Intelligence; Training; Prohibition on Unauthorized Use

8.1. AI-Enabled Features. ZeusXR may offer features that use automated techniques, including artificial intelligence or machine learning, to operate the Service (e.g., technical optimization, classification, recommendations, abuse detection, user assistance, or generation of outputs within the Service).

8.2. No Third-Party Training (Express Prohibition). The User expressly prohibits, and ZeusXR does not authorize, the use of any User Content hosted on or accessed through the Service for the training, fine-tuning, evaluation, or development of artificial intelligence or machine learning models by third parties, unless there is a separate written agreement with ZeusXR and, where applicable, the relevant rights holder(s).

8.3. No General-Purpose Training Without Separate Agreement. Except under a separate written agreement (and, where applicable, User consent/opt-in), ZeusXR will not use User Content to train general-purpose models, nor license User Content to third parties for model training purposes.

8.4. Anti-Extraction Measures. The User agrees that ZeusXR may implement technical and legal controls to prevent large-scale extraction of data or content (including rate limits, blocking abusive automation, and anti-scraping mechanisms), and that any attempt to circumvent such controls constitutes a material breach of these Terms.

8.5. User Responsibility for Inputs/Outputs. The User is responsible for prompts, configurations, and uses of AI-enabled features, and for reviewing outputs before deploying or relying on them where appropriate.

9 Intellectual Property

9.1. ZeusXR Property. The Service, including its software, design, logos, trademarks, and documentation, is owned by ZeusXR and protected by intellectual property laws. Nothing in these Terms grants you any right to use ZeusXR's trademarks, logos, or branding without prior written consent.

9.2. Feedback. If you provide suggestions, ideas, or feedback regarding the Service, you grant ZeusXR a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation or compensation.

10 DMCA and Copyright Policy

10.1. Respect for Intellectual Property. ZeusXR respects the intellectual property rights of others and expects users to do the same.

10.2. DMCA Takedown Notices. If you believe that content hosted on ZeusXR infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

10.3. Counter-Notification. If you believe content was removed in error, you may submit a counter-notification with the information required by the DMCA. ZeusXR will process counter-notifications in accordance with applicable law.

10.4. Repeat Infringer Policy. ZeusXR may terminate the accounts of users who are repeat infringers.

11 Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications (e.g., authentication providers, payment processors, CDN providers). ZeusXR is not responsible for the availability, content, policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

12 XR Devices; Safety; Assumption of Risk

12.1. Compatibility and Performance. The Service may interact with third-party devices, headsets, or hardware (including without limitation virtual, augmented, or mixed reality devices, controllers, sensors, and peripherals). ZeusXR does not guarantee compatibility, performance, availability, or uninterrupted operation of the Service on any specific hardware, firmware, operating system, browser, or network.

12.2. Use at User's Own Risk. The User is responsible for using the Service in accordance with device manufacturer instructions and for maintaining hardware in appropriate condition (including ventilation, charging, updates, calibration, and electrical safety).

12.3. Disclaimer for Hardware Damage or Malfunction. To the maximum extent permitted by law, ZeusXR shall not be liable for damage, overheating, malfunction, degradation, loss of performance, incompatibilities, interruptions, or damage to devices, peripherals, or property arising from the use of, or inability to use, the Service on third-party hardware, nor for events attributable to manufacturers, platform providers, app stores, drivers, firmware, SDKs, or third-party updates.

12.4. Health and Safety. Certain immersive experiences may cause discomfort, dizziness, disorientation, or fatigue in some individuals. The User agrees to take reasonable precautions, stop use if experiencing discomfort, and follow device manufacturer safety guidance. ZeusXR does not provide medical advice and does not guarantee the absence of physical effects associated with immersive experiences.

13 Service Level Agreement (SLA)

13.1. Availability Target. For paid subscription plans, ZeusXR targets 99.9% monthly uptime for the core Service (excluding scheduled maintenance, third-party outages, and force majeure events).

13.2. Scheduled Maintenance. ZeusXR will use reasonable efforts to provide advance notice of scheduled maintenance that may affect availability.

13.3. Service Credits. If monthly uptime falls below 99.9% due to causes within ZeusXR's control, affected paid users may request a service credit. Credits are limited to 30% of monthly fees for the affected period and must be requested within 30 days. Credits are the sole remedy for downtime.

13.4. Exclusions. The SLA does not apply to: (i) free or trial accounts, (ii) features labeled beta or experimental, (iii) issues caused by user actions, third-party services, or circumstances beyond ZeusXR's reasonable control.

14 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ZeusXR does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. ZeusXR does not warrant that results obtained from the Service will be accurate or reliable.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

15 Limitation of Liability

15.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEUSXR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

15.2. IN NO EVENT SHALL ZEUSXR'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ZEUSXR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15.3. These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if ZeusXR has been advised of the possibility of such damages.

16 Indemnification

You agree to indemnify, defend, and hold harmless ZeusXR, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service, (ii) your User Content, (iii) your violation of these Terms, or (iv) your violation of any rights of a third party.

17 Force Majeure

ZeusXR shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, labor disputes, failures of third-party providers (including cloud infrastructure, CDN, payment processors), power outages, internet disruptions, cyberattacks, pandemics, or other events outside ZeusXR's reasonable control.

18 Termination and Suspension

18.1. The User may stop using the Service at any time and may request account deletion by contacting .

18.2. Discretionary Suspension. ZeusXR may, in its sole discretion, with or without cause, and with or without prior notice, suspend, restrict, disable, or terminate the User's access to the Service (including the Account), and/or remove, de-index, or restrict User Content, where ZeusXR reasonably determines that (i) the User poses a legal, reputational, security, or operational risk, (ii) there is suspected abuse, fraud, or misuse, (iii) such action is necessary to protect ZeusXR, other users, third parties, or to comply with applicable law, or (iv) for business continuity reasons.

18.3. ZeusXR may suspend or terminate access immediately for violations of these Terms, the AUP, valid legal requests, or under a repeat infringer policy.

18.4. Upon termination, the User's right to use the Service will cease. Sections that by their nature should survive will survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

19 Data Processing and International Transfers

19.1. Privacy Policy. Your use of the Service is subject to our Privacy Policy, available at zeusxr.com/privacy.

19.2. Data Processing Agreement. For Users subject to GDPR or similar data protection laws who process personal data through the Service, ZeusXR offers a Data Processing Agreement (DPA) upon request. Contact for details.

19.3. International Transfers. User Content and data may be processed and stored in the United States and other countries. By using the Service, you consent to such transfers. ZeusXR implements appropriate safeguards for international data transfers in accordance with applicable law.

20 Governing Law and Dispute Resolution

20.1. Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

20.2. Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or remotely at the parties' election. The arbitrator's decision shall be final and binding.

20.3. Class Action Waiver. You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative actions.

20.4. Exceptions. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

21 Changes to Terms

21.1. ZeusXR may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or through the Service before the changes take effect.

21.2. If you do not agree to the modified Terms, you must stop using the Service before the effective date. Continued use after the effective date constitutes acceptance of the modified Terms.

21.3. Non-material changes (e.g., clarifications, corrections) may be made without advance notice.

22 General Provisions

22.1. Entire Agreement. These Terms, together with the Privacy Policy and AUP, constitute the entire agreement between you and ZeusXR regarding the Service.

22.2. Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

22.3. Waiver. Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

22.4. Assignment. You may not assign or transfer your rights under these Terms without ZeusXR's prior written consent. ZeusXR may assign its rights and obligations without restriction.
